ACKNOWLEDGEMENT

The client acknowledges ‘Ideal Websites’ to implement web development ‘services’ for their company, organisation or business, as per the details outlined in the ‘proposal’ with commencement and completion dates as stated there-in.

PRICING

The proposed ‘project’ total reflects a good faith estimate based on existing understanding of the objectives and priorities of your project. If the project scope changes to an extent that substantially alters the specifications described in the original estimate, a proposal revision memo will be submitted, and a revised or additional fee must be agreed upon before further work proceeds.

PAYMENTS

Upon acceptance of the ‘proposal’ a 50% deposit is payable to commence the first stages as outlined. Invoices will be issued with 7 day terms prior to the agreed ‘start date’.  A final 50% is payable at completion of the project and prior to hand over/go-live.


PAYMENT METHOD

Ideal Websites accept payments via direct bank deposit, Stripe payments, VISA, and MasterCard. We do not accept cheques under any circumstances.

SERVICE DELIVERY

After completing the ‘project’ based on the approved design/plan the client will be given 24-48 hours to decide if the project will be tagged as complete or incomplete. If incomplete Ideal Websites will further assist the client based on requested changes. A proposal revision memo will be submitted, and a revised or additional fee must be agreed upon before further work proceeds.


SUPPORT & MAINTENANCE

Continual Website Maintenance Plans can be found on our Support & Maintenance page. Subscribers to Maintenance Plans receive support services at a reduced hourly rate, as specified in the current offer displayed on the Support & Maintenance page. These offers are subject to periodic adjustments, and billing and renewal occur on a monthly basis. For further details, kindly refer to the Indemnification section of the terms & conditions.

COMPLETION & TERMINATION

The effectivity date of these terms will start on the date of the ‘proposal’ was signed until the project is complete. A confirmation of completion will be issued and agreed by both parties with their signatures

Ideal Websites reserves the right to suspend any services relating to any outstanding invoice that exceeds 14 days of its due date.

Ideal Websites will not be held responsible for any loss of data, files, emails and backups nor responsible for potential loss of business/income during the period of non-service.

GRACE PERIOD FOR WEBSITE BUILDS

We offer a grace period of 10 days, from the date of completion of any tasks, where all minor modifications like typos’ are free. If you have major changes to be made, we will need to assess them and decide whether that might need to be additionally charged.

ACCESS TO CLIENT HOSTING SPACE

Clients who do not have a hosting plan with Ideal Websites may choose to provide ongoing access to thier hosting space or domain name account for purposes relating to site monitoring and support.  These account details will be relequished upon request of the client, or after the cesation of any previously arranged maintenance plan.


DOMAIN NAMES AND HOSTING SERVICES

Ideal Websites can, at its own discretion, but is not obliged to, offer domain name registration and hosting via a third-party service. The Client agrees that registration of a domain name does not provide an endoresement of the right to use the name, and is responsible for ensuring they have due title to the domain name. 


INDEMNIFICATION

1.1 Indemnification Obligation: The Client agrees to indemnify and hold Ideal Websites harmless from any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees and costs, arising out of or in any way connected with the use or misuse of the developed website or services provided by Ideal Websites.

1.2 Indemnification Scope: This indemnification extends to any third-party claims, including but not limited to claims of intellectual property infringement, violation of privacy, or any other legal claim that may arise due to the content, functionality, or use of the developed website.

1.3 Notification and Cooperation: In the event of any claim subject to indemnification under this agreement, Ideal Websites agrees to promptly notify the Client of such claim. The Client shall have the right to assume the defense of any such claim with counsel of its choosing, provided that Ideal Websites is given reasonable cooperation and assistance in the defense.

2. Website Maintenance Plans:

2.1 Maintenance Services: Ideal Websites offers website maintenance plans to ensure the ongoing functionality, security, and performance of the developed website. The details of each maintenance plan, including services covered and associated costs, will be outlined in a separate agreement or proposal.

2.2 Client Responsibilities: The Client acknowledges that maintaining the website may require periodic updates, security patches, and other modifications. It is the Client's responsibility to select an appropriate maintenance plan and promptly provide any information or access necessary for Ideal Websites to perform maintenance services.

2.3 Changes to Maintenance Plans: Ideal Websites reserves the right to modify the features, terms, and pricing of the maintenance plans upon written notice to the Client. Any changes will take effect upon the renewal of the maintenance plan.

2.4 Termination of Maintenance Services: Either party may terminate the website maintenance services upon written notice to the other party. Termination of maintenance services does not release the Client from their indemnification obligations under Section 1 of this agreement.

By engaging in the website development services offered by Ideal Websites, the Client acknowledges and agrees to the terms and conditions outlined above regarding indemnification and the availability of website maintenance plans.

VARIATION

The ‘Client’ agreed that Ideal Websites may vary these terms and conditions and any relevant policies and standards from time to time by providing the Client with written notice of the variation.

GOVERNING LAW

These terms and conditions shall be governed by the laws of Western Australia and Ideal Websites and the Client each irrevocably submit to the exclusive jurisdiction of the courts of Western Australia.

ENTIRE AGREEMENT

The ‘Agreement’ sets out the entire agreement between Ideal Websites and the ‘Client’ regarding the ‘Services’ and supersedes all previous negotiations, commitments and agreements about the ‘Services’.

DEFINITIONS

The terms set out below shall have the following meanings when used throughout these terms and conditions: Agreement means these terms and conditions and the proposal; Acceptance Date means the date that the Client accepts the Proposal; Client means the party specified as the Client in the Proposal; Proposal means the covering letter or quotation accompanying these terms and conditions and any special conditions contained in such Proposal or covering letter; Project means full scope of services specified in the Proposal; Ideal Websites means IDEAL WEBSITES ABN 27 232 453 357.
